Payment Terms
30 days net from invoice date for approved account holders only. Prepayment of 80% will be requested with orders for ex-imported item/s. Non-Account Holders: Customers that do not have an account are required to pay full amount upfront for orders. Products supplied by Apex Scientific shall remain the property of Apex Scientific until paid in full. Overdue accounts will attract interest at the rate of 2% per month (24% per annum). Orders placed on an overdue account cannot be executed until all due amounts are settled, and we reserve the right to withdraw credit facilities should the account be persistently overdue.
Return Policy and Suitability of goods:
Please read product specifications carefully before placing any order. The suitability of the goods for the use contemplated by the client is the sole responsibility of the client and Apex Scientific shall in no way be responsible for the suitability of the goods for any particular end use. 25% restocking charge will apply to cancellation or returning of standard stock items. No goods will be accepted for return unless approved by Apex Scientific management.
Storage Costs:
Any storage costs incurred due to the customer’s inability to receive goods will be for the customer’s account.
Part-deliveries:
If accepted by the Purchaser, part –deliveries are due for payment within 30 (thirty) days from the date of invoice or as per the terms of the sales agreement. If part-deliveries are not acceptable by the Purchaser, this condition must be stated in the order.
Installation:
Should the item require delivery and commissioning where equipment hire (fork lift, scaffolding, removal of walls etc.) is required, all additional costs incurred will be for the customer’s account. Apex Scientific recommends a site visit prior to delivery. In the case where any stairs are involved, all deliveries and Installations will be to ground floor only unless: The item/s can fit inside a suitable lift or a site visit was conducted before delivery and extra labour charges were quoted prior to delivery and Installation. It is expected that the site will be ready for installation upon arrival, any delays will be charged at our standard labour rate per hour. If access to the equipment on-site is delayed by the customer or security, time lost will be charged at our standard labour rate per hour. The following are excluded from this quote unless specified and charged for on the main quote. Induction time lost @ R650 per hour per Technician, Safety file @ R10000.00 Excluding vat. All electrical connections (including 3-phase if required), gas, or plumbing will be the responsibility of the customer.
Service and Re-certification:
Service, calibration and validation quotes do not include spares and consumables unless otherwise stated. During the service, should it be determined that additional parts and/or labour is required, it will be quoted service and discussed separately with you. No work will be done without your consent in writing and an accompanying order number. If you are experiencing with your equipment, these will first need to be addressed before a service can take place. Additional difficulties work and / or spares will most likely be necessary but this will first be discussed with you before sending a separate quotation. If access to the equipment on-site is delayed by the customer or security, time lost will be charged at our standard labour rate per hour. It is expected that before starting any re-certification process that the product/equipment to be certified, has been surface decontaminated and cleaned by customer before commencing any work. All products/equipment shall be emptied of any samples, storage containers, or any products used inside the equipment prior servicing by the customer. The following are excluded from this quote unless specified and charged for on the main quote. Induction time lost @ R650 per hour per Technician. Safety file @ R10000.00 Excluding vat.
Goods Delivered:
All goods remain the property of Apex Scientific until the purchase price and all other costs, charges and expenses have been paid in full. Whilst the seller undertakes to deliver the goods as soon as reasonably possible, the seller shall not be liable for any loss or damage whatsoever which the purchaser may suffer arising from late delivery or non-delivery of the goods for any reason. Goods returned will not be accepted for credit unless prior approval has been obtained in writing, in which event a handling fee of 25% will be levied. Delivery note or invoice number must be quoted where applicable, instruction manuals are supplied with goods delivered. Apex Scientific will not accept any claims for shortages or breakages where the Purchaser has accepted in writing the receipt of goods without checking.
Warranty Terms:
The highest possible standards are maintained for our goods and services and products are guaranteed on behalf of our international principles, subject to the conditions mentioned below, against defects in material & workmanship. This warranty is subject to the fulfilment of the following conditions: 1. All claims must be presented in writing no later than 7 (seven) days from receipt of goods. 2. Faulty goods and goods which can be shown to have been defective prior to delivery, through inadequate material or bad workmanship, will be repaired or replaced at our option and expense. Adequate time must be allowed for us to effect alterations or replacements. 3. Our liability for faulty goods does not extend to deterioration caused by wear and tear, nor to damage due to faulty or careless handling, excessive strain, unsuitable service conditions, improper use or any other conditions whatsoever, which are beyond our control. 4. The warranty becomes null and void if alterations or repairs are carried out by the purchaser or by third parties without our prior written consent. 5. Our liability is confined to our goods or parts and does not cover damages caused to plant machinery or other equipment or to any consequential loss or damage whatsoever. 6. This limited warranty covers parts only and not transportation. Products with missing or defaced serial numbers will not be covered by warranty. Warranty excludes consumables such as filters (HEPA, ULPA, carbon, pre-filters) and fluorescent /UV bulbs.
This limited warranty does not cover problems that result from:
- External causes such as accident, abuse, misuse, improper operating environmental conditions and problems with electrical power.
- Usage that is not in accordance with product instructions.
- Failure to follow the product instructions.
- Failure to perform preventative maintenance. Using accessories, parts, or components not supplied by Apex Scientific (Pty) Ltd.
- Customer modifications to the product.
No warranty shall apply when damage is caused by any of the following:
- Power failure, surges, or spikes.
- Unsuitable ambient conditions. Please note that our refrigeration equipment including Refrigerators, Freezers, ULT Freezers, Cryogenic Freezers, refrigerated baths and Re-circulating chillers require an ambient temperature of 25℃ for operation.
- Damage in transit or when moving the instrument Improper power supply such as low voltage, incorrect voltage, defective wiring, or inadequate fuses.
- Accident, alteration, abuse, or misuse of the instrument.
- Fire, water damage, theft, war, riot, hostility, acts of God, such as hurricanes, floods, etc.
Electrical Power Issues:
We strongly advise the use of Refrigeration/Surge Protection adapters for all refrigeration equipment and freezers operating within the temperature range of -25 to -40°C. For freezers with temperatures colder than -80°C, we recommend the use of Automatic Voltage Regulators. These measures are essential for preventing damage caused by unstable power supply and electrical surges. It is the customer’s responsibility to include the recommended adapters and regulators in their order. Should the customer choose to exclude these components, any damages resulting from power supply issues will not be covered under warranty. It is highly encouraged to adhere to these recommendations to ensure the longevity and proper functioning of the equipment.
Delivery:
Delivery time is estimated and is subject to prior sale. Delivery will be FOB/FOR at client’s instruction and for client’s account. Delivery excludes rigging and removal of walls / structures etc. Goods will be delivered be to ground floor only, unless the facilities have a suitable goods elevator.
Changes in specifications:
Due to ongoing development and continual product improvement specifications contained within the quoted product may change without notice.
Exchange Rate:
Our price/s will be subject to exchange rate/s and quoted where applicable as indicated above. When placing order/s, please confirm if you would prefer to take FORWARD COVER on your order. Any increase in price of goods due to an increase of rate of exchange, will be chargeable to the Purchaser.
Acceptance of Quote:
By issuing a Purchase order and/or making payment via a Proforma Invoice, the Purchaser accepts the terms and condition set out within this quote.
Confidentiality:
Confidentiality of our offer must remain between the Purchaser/client and Apex Scientific and may not be discussed with any third party outside the parties involved unless agreed upon between the Purchaser and Apex Scientific
